Notifiable changes for foreigners' associations
- Changes to the articles of association, the name of the association, the purpose of the association, the registered office of the association
- Changes in the composition of the Executive Board or the persons authorized to represent the association as well as changes of address of these persons
- Establishment of sub-organizations of the association in other federal states or
- Changes to such organizations
- Dissolution of the association
Deadline
All of the above changes must be notified in writing to the responsible authority (BürgerService und Ordnung) within a period of 2 weeks.
Obligated persons
The members of the Management Board or persons authorized to represent the company are obliged to notify the company. If third parties (e.g. notaries) are commissioned to fulfill this obligation, they must be expressly informed of compliance with the deadline.
Infringements
Non-fulfilment or partial non-fulfilment of the obligation to notify and provide information constitutes an administrative offence pursuant to Section 21 of the Associations Act, which can be punished with a fine of up to EUR 1,000.00.
It is expressly pointed out that these obligations apply both to associations that are not entered in the register of associations at the local court and to associations that are entered there. The reporting obligations to the register of associations are not affected by the reporting obligations to the danger prevention authority. This means that registered associations have a duty to notify the register of associations and the danger prevention authority
